Terms of Service

These terms govern your use of the VoipXDialer platform and website, operated by VoipXDialer LLC. By opening an account or using the service you agree to them. Where a signed master services agreement exists, that agreement takes precedence over these terms.
1. The service
We provide cloud-based voice services including hosted dialer, hosted PBX, DID and toll-free numbers, media proxy and call termination. Specific features, capacity and rates are set out in your order or quote.
2. Accounts
You are responsible for the accuracy of the account information you provide, for keeping credentials secure, and for all activity that occurs under your account. Notify us immediately at support@voipxdialer.org if you suspect unauthorised access.
3. Acceptable use
You must not use the service to:
- Place calls that breach telecommunications or consumer protection law in any jurisdiction you dial.
- Present caller ID you do not own or are not authorised to use (number spoofing).
- Contact people who have registered on an applicable do-not-call list or who have asked you to stop.
- Send fraudulent, deceptive, harassing or unlawful communications of any kind.
- Generate artificially inflated traffic, or attempt traffic pumping or revenue-share fraud.
- Attempt to disrupt, probe or gain unauthorised access to the platform or another customer's data.
Breach of this section may result in immediate suspension. Where suspension is necessary to protect the network or comply with the law, we may act without prior notice.
4. Your compliance obligations
You are solely responsible for compliance with the rules applying to your calling activity — including do-not-call registries, permitted calling windows, abandon rate limits, consent requirements and call recording disclosure. We provide tools to help you meet these obligations; configuring and operating them correctly is your responsibility.
5. Numbers
Numbers are allocated to you under the rules of the relevant national regulator. You do not own a number and, where a regulator requires it, numbers may be reclaimed. Some markets require proof of local presence; providing false information to obtain a number is a breach of these terms. Porting is subject to the losing provider's process and to your account being in good standing.
6. Fees and payment
Platform fees are billed monthly in advance; usage is billed in arrears at the rates in your quote, in per-second increments. Prepaid accounts must maintain a positive balance for calls to complete. Invoices are due within the period stated on the invoice, and overdue amounts may attract interest and suspension. Rates for a destination may change where an upstream carrier changes theirs; we give notice where practicable.
7. Service levels
We target 99.99% availability of the platform, measured monthly and excluding scheduled maintenance, force majeure, and faults in your own network or equipment. Where a written SLA with service credits applies to your account, that document sets out the exclusive remedy for availability shortfalls.
8. Support
Technical support is available 24/7/365. Response targets depend on your plan and on the severity of the incident. Support covers the platform and our network; it does not extend to your internal network, third-party equipment or your own application code.
9. Emergency calls
Cloud voice services have limitations for emergency calling. Emergency service access may be unavailable or may route incorrectly if power or internet fails, if you move an endpoint without updating its registered address, or in markets where we do not support emergency dialling. You must inform your users of these limitations and maintain an alternative means of contacting emergency services.
10. Data protection
Our handling of personal data is described in our Privacy Policy. Where we process personal data on your behalf we act as a processor on your documented instructions, and a data processing agreement is available on request.
11. Intellectual property
We retain all rights in the platform, software and documentation. You retain all rights in your own data. You are granted a non-exclusive, non-transferable right to use the service for the duration of your subscription.
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings. Our aggregate liability in any twelve-month period is limited to the fees you paid us in that period. Nothing in these terms limits liability that cannot be limited by law.
13. Term and termination
Monthly plans continue until cancelled and may be cancelled effective at the end of the current billing period. Either party may terminate for material breach that remains uncured 30 days after written notice. On termination you remain liable for usage incurred, and you should export your data before your account closes.
14. Changes to these terms
We may update these terms. Material changes will be notified to active customers at least 30 days before they take effect. Continuing to use the service after that date constitutes acceptance.
15. Governing law
These terms are governed by the laws of the State of Colorado, United States, and the parties submit to the exclusive jurisdiction of its courts, without prejudice to any mandatory consumer protections in your own jurisdiction.
